Allgemeine Geschäftsbedingungen
Stand: 12. Oktober 2026
Diese Bedingungen regeln die Nutzung der MAEHR BUSINESS SUITE (MBS) durch Unternehmer. Anbieter ist Loris Mähr, handelnd für die in Gründung befindliche maehrsteuern UG (haftungsbeschränkt), Krumme Gasse 71, 99330 Geratal OT Gossel („Anbieter“).
1. Geltungsbereich
General terms and conditions
As of: 12 October 2026
The German version is legally binding. This English version is provided for convenience.
These terms govern the use of the MAEHR BUSINESS SUITE (MBS) by businesses. The provider is Loris Mähr, acting on behalf of maehrsteuern UG (haftungsbeschränkt), currently being formed, Krumme Gasse 71, 99330 Geratal OT Gossel (the “Provider”).
1. Scope
1.1 These terms apply to all contracts between the Provider and its customers for the use of the MAEHR BUSINESS SUITE (MBS). Customers can only be businesses within the meaning of sec. 14 of the German Civil Code (BGB) with their registered office in Germany, that is natural or legal persons or partnerships with legal capacity acting in the exercise of their commercial or independent professional activity when the contract is concluded. Consumers are excluded from entering into a contract.
1.2 Deviating or additional terms of the customer do not apply, even if the Provider does not expressly object to them. Individual agreements in text form take precedence.
1.3 By ordering, the customer assures that it is a business within the meaning of clause 1.1 and has its registered office in Germany. If this changes, it informs the Provider without delay in text form. If these statements are incorrect, the Provider may terminate the contract for cause; the customer compensates the Provider for any resulting disadvantages, in particular with regard to VAT.
2. Subject matter
2.1 For the term of the contract, the Provider grants the customer a right to use the MBS software in the edition ordered (Start, Practice or Group). With the Start and Practice editions, the customer may optionally add the AI add-on; in the Group edition it is included. While the AI add-on is marked as in preparation, clause 11.6 applies.
2.2 What the editions and the AI add-on include is set out in the price overview at maehr-bs.de/#preise as at the time of the order. The service described there is the agreed quality of the software.
2.3 MBS runs as a file in the customer's browser. The Provider owes the supply of the software and the licence key, not the operation of the customer's computing equipment.
2.4 The Provider maintains the legal status stored in the software and makes reasonable updates available to the customer during the term of the contract. In doing so it takes into account the legal status of the year named in the price overview. The Provider gives no guarantee that every change in the law is taken into account completely or currently. The customer remains responsible for checking the results (clause 9.2).
3. Conclusion of contract
3.1 The presentation on the website is not an offer. The customer's order through the order form or by email is an offer to conclude a contract.
3.2 The contract is concluded when the Provider accepts the order. The Provider declares acceptance by email to the address given by the customer, including by sending the invoice or the licence key. A confirmation by email that the order has been received is not an acceptance.
3.3 The Provider is free to accept or reject orders. There is no entitlement to a contract. The Provider may in particular reject an order if the details on business status or registered office are not plausible.
3.4 The customer acts as a business. As this is not a consumer contract, there is no statutory right of withdrawal for consumers.
4. Trial phase and promotional prices
4.1 If the customer's order reaches the Provider on or before 1 November 2026 and the customer chooses monthly payment, it receives a discount of 50% on the fee for the first billing period (the first month). What counts is the receipt of the order by the Provider.
4.2 The discount does not apply to annual payment or to subsequent periods. It cannot be combined with other discounts or promotions, and there is no entitlement to a cash payout. For subsequent periods the price in the price overview under clause 5.1 applies, subject to clause 5.4.
5. Prices and payment
5.1 All prices are net, plus statutory value added tax. The price overview as at the time of the order applies, subject to clause 5.4.
5.2 The Provider issues the invoice electronically by email. Payment is made against invoice. The invoice is due within 14 days of the invoice date without deduction. The statutory rules on default apply. Until the statutory transition periods expire (sec. 27(38) UStG), the Provider sends invoices as PDF by email; the customer agrees to this form of transmission. Thereafter the Provider issues invoices as e-invoices within the meaning of sec. 14(1) UStG.
5.3 With annual payment, the billing period of twelve months is invoiced in advance if the price overview offers this payment interval.
5.4 The Provider may change the prices for future billing periods. It announces every price change in text form at least six weeks before it takes effect. In that case the customer may terminate the contract in text form with effect from the date on which the price change takes effect (special right of termination); the Provider points this out in the announcement. The price does not change for billing periods already paid for. The customer's consent to a price change is not inferred from its silence or from its continued use (no deemed consent); the price change rests solely on the right to change under this clause. Clause 16 does not apply to prices.
5.5 For group licences (annual licence and one-time licence, including for several legal entities) the prices named in the price overview are list prices. Prices and scope of services follow from the Provider's individual quote. A contract is concluded only when the customer accepts the quote.
6. Licence key
The Provider sends the licence key by email to the address given by the customer once payment has been received. The key unlocks the software for the edition ordered, the number of legal entities and the period paid for. The billing period results from the invoice and begins on the invoice date. If activation after receipt of payment is delayed for reasons for which the Provider is responsible, the period is extended by the length of the delay.
7. Term and termination
7.1 The term is one month with monthly payment and one year with annual payment. It renews automatically for the same period unless the contract is terminated.
7.2 The customer and the Provider may terminate the contract in text form; an email to kontakt@maehr-bs.de is sufficient. Notice must reach the other party no later than the last day of the current period. The contract then ends when that period expires.
7.3 If the customer does not pay an invoice, the Provider does not unlock the next period, and the licence expires at the end of the period paid for. After an unsuccessful payment reminder the Provider may terminate the contract for good cause.
7.4 The right to terminate for good cause remains unaffected.
7.5 The right of use ends with the term. The customer has backed up its own data (clause 9) and may continue to use it; it may no longer use the software itself.
8. Rights of use
8.1 The Provider grants the customer a non-exclusive, non-transferable right, not capable of sub-licensing, to use the software for its own purposes during the term. The number of legal entities for which the customer may use the software follows from the edition ordered.
8.2 The licence file and the licence key must not be passed on to third parties, published or copied. The customer may pass results and export files of the software to its tax advisers, auditors and examiners and allow them to use the software within its licence for the customer's own purposes. Use for other engagements of these persons is not covered.
8.3 The statutory rights under secs. 69d and 69e of the German Copyright Act (UrhG) remain unaffected. Included open-source components (e.g. fonts) are additionally subject to their own licence terms.
9. Customer obligations
9.1 With local use, the customer's data is on its own devices. The customer ensures regular data backups.
9.2 The customer checks the software's results for accuracy and completeness, itself or through its tax adviser, before using them for annual accounts, tax returns or other purposes. It is responsible for the accuracy of the data entered.
9.3 The customer protects the licence key and access data from access by unauthorised persons.
10. No tax or legal advice
MBS is a software tool. The Provider does not provide tax advice, legal advice or assistance in tax matters within the meaning of sec. 2 of the German Tax Advisory Act (StBerG). The results are working aids. Responsibility for annual accounts, tax returns and tax decisions remains with the customer and its advisers.
11. AI add-on
11.1 From activation (clause 11.6), the customer can use the AI add-on to have documents captured and tax assessments checked. The monthly document allowance and the charging of further documents follow from the price overview as at the time of the order.
11.2 The Provider processes the customer's documents only after the customer has expressly set up and approved the function. Processing takes place on servers in Germany or the EU.
11.3 The AI results are suggestions. Nothing is adopted without the customer's approval. The customer checks the results (clause 9.2).
11.4 Where the Provider processes personal data on behalf of the customer in the process, the parties conclude a data processing agreement under Art. 28 GDPR. It is a precondition for setting up the AI add-on.
11.5 If the customer is subject to a professional duty of confidentiality (e.g. a tax adviser), it ensures that the transmission is permitted under professional rules. The Provider keeps confidential all information of the customer that becomes known to it in performing the contract. Where the customer is a professional bound by secrecy, the Provider will on request conclude a confidentiality agreement in text form under sec. 203(3) and (4) StGB and sec. 62a StBerG.
11.6 While the price overview marks the AI add-on as in preparation, the customer can only pre-register it with the Start and Practice editions, and in the Group edition it is included only from activation. Before activation the Provider does not charge for the AI add-on and does not owe its services. The Provider informs the customer of the activation by email. The AI add-on is charged only from the billing period that begins after that notice. The customer may withdraw the pre-registration in text form at any time until activation.
12. Availability
12.1 The downloaded software runs locally at the customer and needs no connection to the Provider for this.
12.2 For hosted parts (website, delivery of the app at /app, ordering, licence delivery, AI add-on and storage on a server) the Provider gives no commitment on availability. It endeavours to operate them without interruption.
13. Warranty
13.1 The customer reports defects without delay in text form and describes them comprehensibly.
13.2 The Provider remedies defects within a reasonable period by supplementary performance, for example a correction or an update. If supplementary performance finally fails, the customer's statutory rights apply.
13.3 The Provider's strict liability for defects already present when the contract was concluded (sec. 536a(1) alt. 1 BGB) is excluded. Otherwise the statutory provisions of tenancy law apply to defects unless clause 14 provides otherwise.
14. Liability
14.1 The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act. The same applies where it has given a guarantee.
14.2 In cases of slight negligence the Provider is liable only for breach of essential contractual obligations, that is obligations whose fulfilment is a precondition for the proper performance of the contract and on which the customer may regularly rely. In that case liability is limited to the typical, foreseeable damage.
14.3 Otherwise liability for slight negligence is excluded. Liability for loss of data is limited to the effort that would have been needed to restore the data had the customer made regular backups appropriate to the risk.
14.4 The above rules also apply for the benefit of the Provider's employees and agents.
15. Data protection and data processing
How the Provider processes personal data is set out in the privacy notice. With local use of the software, the Provider receives no accounting data of the customer. Where the Provider processes data on behalf of the customer (AI add-on, storage on a server), the data processing agreement under Art. 28 GDPR, to be concluded separately, applies.
16. Changes to the terms
The Provider may change these terms with effect for the future where this is reasonable for the customer and the change does not concern prices. Clause 5.4 alone applies to prices. It notifies the change in text form at least six weeks before it takes effect. If the customer does not object within this period, the changes are deemed approved; the Provider points out this consequence in the notification. This deemed consent applies only to rules that do not concern prices. There is none for prices or price changes.
17. Final provisions
17.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
17.2 To the extent permitted, the place of jurisdiction is the Provider's registered office.
17.3 Should individual provisions be or become invalid, the validity of the remainder is unaffected. The statutory rule replaces the invalid provision.
